Terms of Business for Service Provision of Reliant*
1. Introduction
1.1 These Terms of Business (the "Terms") constitute a legally binding agreement between Reliant Resourcing Ltd ("Service Provider") and the client ("Client") for the provision of job posting services ("Services").
1.2 By using the Services, the Client agrees to be bound by these Terms.
2. Services
2.1 The Service Provider agrees to provide job posting services as follows:
Once the order form is submitted by the client, jobs will take 24-48 hours to be posted.
Job posting services for a period of 28 days across CV Library, Reed, Linked In (Limited Postings) and a number of free job boards. Additional job boards can be included at an additional cost. Any applications will be forwarded to a specified email address nominated by the Client.
2.2 The scope of the Services includes, but is not limited to, posting job advertisements on specified job boards
2.3 The Client acknowledges that the Service Provider does not guarantee any specific outcomes, including the number of applications or successful hires.
Client Obligations
3.1 The Client shall provide accurate and complete information necessary for the provision of the Services.
3.2 The Client is responsible for the content of the job advertisements, ensuring that they comply with all applicable laws and regulations, including but not limited to the Equality Act 2010.
3.3 The Client shall promptly inform the Service Provider of any changes to the information provided or any issues affecting the Services.
4. Fees and Payment
4.1 The fees for the Services ("Fees") shall be as specified in the Agreement.
4.2 Payment terms are within 7 days of invoice or job posting date, whichever is the sooner date.
4.3 In the event of late payment, the Service Provider reserves the right to charge interest on the overdue amount at the rate of 8% of the gross fee for each month (or part thereof)for which the debt remains unpaid.
4.4 The Client shall be responsible for any additional costs incurred due to changes in the scope of Services requested by the Client.
5. Term and Termination
5.1 The Agreement shall commence on the date the job is posted for a period of 28 days , unless terminated earlier in accordance with these Terms.
5.2 The client understands that once the job posting request has been processed ontp the third-party job boards the full invoice value is payable.
npaid beyond the due date. The Client may terminate the Agreement by providing 7 days written notice to the Service Provider. However the initial fees remain payable.
5.3 The Service Provider may terminate the Agreement immediately for any reason without any notice.
5.4 Upon termination, the Client shall pay for all Services rendered for the full 28 days.
6. Confidentiality
6.1 Both parties agree to keep confidential all information disclosed by the other party that is marked as confidential or would reasonably be considered confidential.
6.2 This obligation shall survive the termination of the Agreement for a period of two years.
7. Liability
7.1 The Service Provider’s liability for any claim arising out of or in connection with the provision of the Services shall be limited to the amount of Fees paid by the Client for the Services.
7.2 The Service Provider shall not be liable for any indirect, consequential, or special losses, including loss of profit, revenue, or business opportunity.
8. Indemnity
8.1 The Client agrees to indemnify and hold harmless the Service Provider against all claims, liabilities, damages, and expenses arising out of or in connection with the Client’s use of the Services or any breach of these Terms by the Client.
9. Intellectual Property
9.1 All intellectual property rights in the job advertisements and related materials created by the Service Provider in the course of providing the Services shall remain the property of the Service Provider, unless otherwise agreed in writing.
9.2 The Client grants the Service Provider a non-exclusive, royalty-free license to use the Client’s trademarks and logos solely for the purpose of providing the Services.
10. Governing Law and Jurisdiction
10.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
10.2 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Miscellaneous
11.1 These Terms and the Agreement constitute the entire agreement between the parties and supersede any prior agreements or understandings, whether written or oral.
11.2 No modification of these Terms shall be effective unless made in writing and signed by both parties.
11.3 If any provision of these Terms is found to be unenforceable, it shall not affect the enforceability of the remaining provisions.
11.4 Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control.
11.5 The Client may not assign or transfer any of its rights or obligations under these Terms without the prior written consent of the Service Provider.
By using our Services, the Client acknowledges that they have read, understood, and agree to be bound by these Terms of Business.
